Agreement

These Terms govern ProposalGrid (the "Service").

Using the Service means you agree. Organisations: you represent authority to bind them.

If you disagree, do not use the Service.

The Service

Cloud software for proposals, quotes, agreements, public links, status tracking.

Plans and limits are described in-product; these Terms control.

We may change features for security, law, or product reasons with notice where appropriate for paid features.

Third-party infrastructure may cause brief outages.

Account

Accurate registration data.

You protect credentials; notify hello@proposalgrid.com of suspected abuse.

We may suspend breaches or risk.

Payment

Fees, VAT, and renewal as shown at checkout or billing.

Stripe handles payments under its terms too.

Non-payment may lead to suspension after notice where required.

EU consumer rights stay in force—see Consumer information.

Acceptable use

No unlawful use, malware, intrusion, overload, spam, scraping to compete, or impersonation.

You ensure lawful content and rights for client personal data you process.

We may remove content or suspend access to enforce this or the law.

IP

You keep rights in your content.

You license us to host and process it to run the Service.

ProposalGrid branding and software are ours or our licensors’.

Public links

You control exposure; link holders may view published content.

You inform recipients as your relationship and law require.

Feedback

Feedback may be used freely without obligation to pay you.

Warranty disclaimer

"As is" / "as available" to the maximum extent permitted.

We do not guarantee uninterrupted service or data integrity; keep backups.

Liability cap

No indirect or consequential damages to the extent permitted.

Cap: fees paid in the prior 12 months or €100, whichever is higher, except where mandatory law forbids limits.

Indemnity

You indemnify us for claims from your content or breach, except our wilful misconduct.

We notify you of claims.

Termination

Stop using or request deletion via product or hello@proposalgrid.com.

We may terminate for material breach or law, with cure where reasonable.

Survival: IP, disclaimers, liability, indemnity, law.

Personal data

The data protection notice is incorporated by reference.

Governing law

Lithuanian law; Vilnius courts for business users where permitted.

EU consumers keep home-country mandatory protections and jurisdiction rules.

Consumer information (EU)

EU consumers have non-waivable rights including, where applicable, withdrawal and remedies for digital services (Directive 2019/770 as transposed).

Pre-contract info on functionality, compatibility, and updates appears on the site, checkout, and these Terms.

ODR platform: https://ec.europa.eu/consumers/odr/ — we are not obliged to use every ADR scheme.

Misc

No assignment without consent (we may assign on M&A with notice).

These Terms and the notice are the entire agreement.
